You may not reproduce, distribute, modify, or create derivative works from proprietary Site content without express written permission.

6. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless RxSaurus, its parent companies, subsidiaries, affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and data providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (i) your use of and access to the Site; (ii) your violation of any provision of these Terms; (iii) your violation of any third-party rights, including intellectual property rights or privacy rights; (iv) any content you submit, post, or transmit through the Site; or (v) any harm caused by or arising from your reliance on information obtained through the Site.

RXSAURUS DOES NOT WARRANT THAT (A) THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (B) ANY DRUG INFORMATION ON THE SITE IS COMPLETE, ACCURATE, CURRENT, OR APPROPRIATE FOR ANY PARTICULAR CLINICAL USE; (C) THE RESULTS OBTAINED FROM USE OF THE SITE WILL BE ACCURATE OR RELIABLE; OR (D) THE QUALITY OF ANY INFORMATION OR SERVICES OBTAINED THROUGH THE SITE WILL MEET YOUR EXPECTATIONS.

8. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RXSAURUS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND DATA PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT, INCLUDING BUT NOT LIMITED TO DAMAGES FOR PERSONAL INJURY, LOST PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF RXSAURUS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL RXSAURUS'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SITE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO RXSAURUS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

9. STATUTE OF LIMITATIONS

ANY CAUSE OF ACTION ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OR SUCH CAUSE OF ACTION IS PERMANENTLY BARRED, TO THE FULLEST EXTENT PERMITTED BY LAW.

10. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

ARBITRATION: Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitrator's decision shall be final and binding. You agree to resolve disputes only on an individual basis and waive any right to bring or participate in any class action, collective, or representative proceeding.

11. MODIFICATION OF TERMS

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on the Site and updating the "Last Updated" date. Your continued use of the Site after the posting of changes constitutes your acceptance of the revised Terms.

12. TERMINATION

We reserve the right to terminate or suspend your access to the Site at any time, with or without cause and with or without notice, including if we reasonably believe you have violated these Terms.
